Standard Terms and Conditions of Sale

1. General and Definitions

1.1 These Terms and Conditions apply to all orders placed with Tenfold Ltd t/a thefringe.store ("the Company", "we", "us", or "our") by the customer ("the Customer", "you", or "your").

1.2 By placing an order, uploading artwork, or approving a proof, the Customer agrees to be bound by these Terms and Conditions in their entirety.

1.3 "Working Days" refers to Monday to Friday, excluding standard public holidays.

2. Orders and Specifications

2.1 All orders are subject to acceptance by the Company. We reserve the right to reject any order that we deem unsuitable for our presses, technically flawed, or containing illegal/offensive material.

2.2 The Customer is responsible for ensuring that the specifications of their order (size, quantity, paper stock, and finish) are correct at the time of checkout.

3. Price and Payment

3.1 All prices are displayed exclusive of VAT unless otherwise stated. VAT will be applied at the standard rate where applicable by law.

3.2 Full payment is required at the time of order placement unless a pre-approved credit account has been established. Production will not begin until cleared funds are received.

4. Artwork, Proofing, and Content Responsibility

4.1 Customer Responsibility: The Customer assumes full responsibility for the accuracy, layout, and content of all submitted artwork.

4.2 Content Accuracy: The Company does not review artwork for spelling, grammar, typographical errors, factual inaccuracies (including but not limited to incorrect dates, times, pricing, or venue addresses), or missing design elements.

4.3 The Artwork Check Service: If the Customer purchases or utilizes our "Artwork Check" service, the Company will perform a strict technical pre-press check. This check is exclusively limited to verifying print compliance, such as dimensions, bleed, safe area margins, image resolution, and CMYK colour conversion.

4.4 Exclusions of the Artwork Check: The Artwork Check is not a proofreading, editing, or fact-checking service. Passing the Artwork Check signifies only that the file is technically ready for the printing press, not that the written or visual content is accurate.

4.5 Final Approval: If a digital proof is provided, the Customer must review it thoroughly before authorising print. By approving a proof or submitting files as "print-ready," the Customer confirms that all content is 100% correct.

5. Production and Turnaround Times

5.1 Turnaround times are estimates only and commence once the order is paid, and the artwork has either passed our technical check or the proof has been approved by the Customer.

5.2 The Company will make every commercial effort to meet estimated dispatch dates, but we shall not be liable for any direct or indirect loss arising from delayed production or delivery.

6. Delivery

6.1 For standard orders, delivery will be made to the address specified by the Customer at checkout. However, for orders associated with our partner venues (such as Greenside or Just the Tonic), the Customer does not specify a delivery address. These orders are automatically routed and delivered directly to the designated venue by the Company.

6.2 Risk of loss or damage to the goods passes to the Customer (or to the receiving venue on the Customer's behalf) upon delivery.

6.3 If a standard delivery is refused or returned to us due to an incorrect address provided by the Customer, a redelivery fee will apply.

7. Cancellations and Returns

7.1 Because all printed products are bespoke and custom-made to the Customer's specifications, no right to cancel or return goods exists once the order has entered production.

7.2 Orders may only be cancelled prior to the commencement of the printing process. A cancellation fee may apply to cover administrative costs or design time already incurred.

8. Liability and Reprints

8.1 Customer Errors: The Company accepts absolutely no liability for errors present in the final printed product that were contained in the original artwork supplied or approved by the Customer. We will not offer refunds, credits, or free reprints for spelling mistakes, grammatical errors, incorrect factual information (such as venue details), or formatting issues that were present in the submitted files.

8.2 Technical Faults Guarantee: If the Customer utilized the Artwork Check service and the final product fails due to a technical error that should have been caught by our pre-press checklist (e.g., incorrect bleed resulting in cut-off text, despite files being supplied correctly), the Company will reprint the affected items free of charge.

8.3 Claims: Any claims regarding damage, shortages, or manufacturing defects must be reported to the Company in writing within 48 hours of delivery, accompanied by photographic evidence.

8.4 Limit of Liability: The Company's maximum liability for any claim shall not exceed the total cost of the order in question. We are not liable for any consequential loss, loss of profits, or loss of business.

9. Copyright and Intellectual Property

9.1 The Customer warrants that they hold the necessary copyright, trademark, or legal right to reproduce all images, text, logos, and materials submitted for printing.

9.2 The Customer agrees to indemnify and hold the Company harmless against any claims, damages, or legal costs arising from a breach of intellectual property rights or copyright infringement.

10. Force Majeure

10.1 The Company shall not be held liable for any failure or delay in fulfilling its obligations under these Terms and Conditions if such failure or delay is caused by events outside our reasonable control, including but not limited to acts of God, strikes, equipment breakdown, material shortages, or courier delays.

11. Governing Law

11.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
